Terms of Service

These Terms of Use and License Agreement ("Terms") govern your access to and use of treebeardai.com and all related services, APIs, widgets, data products, and documentation (the "Service") provided by Ent Laboratories LLC ("Ent," "Treebeard," "we," "us," "our"). By accessing or using the Service, you agree to these Terms.

1. Acceptance

By creating an account, accessing the Service, or using any Treebeard output, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. The Service

Treebeard provides AI agent ratings, directory data, analytics, API access, and embeddable widgets. The Service and its outputs are provided "as is." We may modify, suspend, or discontinue any part of the Service at any time without notice.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

5. Ratings and Outputs

All Treebeard ratings, scores, classifications, and related outputs are:

  1. Opinions, not statements of fact.
  2. Not investment, financial, or legal advice.
  3. Not credit ratings, guarantees, or endorsements.
  4. Subject to the Rating Disclaimer, which is incorporated into these Terms.

6. Acceptable Use

You agree not to:

  1. Use the Service for any unlawful purpose.
  2. Reverse-engineer, decompile, or attempt to extract source code from the Service.
  3. Scrape, crawl, or systematically access the Service beyond API rate limits.
  4. Redistribute, resell, or sublicense Treebeard outputs without authorization.
  5. Attempt to manipulate, game, or artificially influence ratings.
  6. Impersonate any person or entity in connection with the Service.
  7. Interfere with or disrupt the integrity or performance of the Service.

7. API Terms

API access is subject to rate limits, tier restrictions, and the API documentation. API keys are non-transferable and may be revoked for policy violations. You must not share API keys or use them in a manner that exceeds your tier's permitted usage.

8. Intellectual Property

All content, data, methodology, branding, and software comprising the Service are owned by Ent Laboratories LLC or its licensors. You receive a limited, non-exclusive, revocable license to use the Service in accordance with these Terms. Nothing in these Terms transfers ownership of any intellectual property.

9. Fees and Payment

Certain features require a paid subscription. Fees are described on the pricing page and are non-refundable except as required by law. We may change pricing with 30 days' notice. Failure to pay may result in suspension or termination of access.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENT LABORATORIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER ARISING FROM CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Ent Laboratories LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may suspend or terminate your access at any time for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive.

14. Governing Law

These Terms are governed by the laws of the State of South Carolina, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in South Carolina.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be posted with an updated "Last Updated" date. Continued use after changes constitutes acceptance.
